1. Introduction

  • Custom design and professional installation of walk-in chillers, freezer rooms, and modular cold rooms.
  • Preventive maintenance, servicing contracts, and emergency repair support.
  • Supply and fitting of high-performance cold room panels, doors, refrigeration units, insulation, and other critical system components.

Our clientele includes businesses in food processing, catering, retail, pharmaceuticals, agriculture, floral industries, and other sectors that demand precision cold storage solutions.

3. Quotations and Order Acceptance

  • Written quotations provided by ColdroomsDirect are valid for a period of thirty (30) calendar days unless stated otherwise. After this period, prices and availability may change.
  • An order is only confirmed upon receiving written acceptance from ColdroomsDirect and, where applicable, a deposit payment.
  • Modifications to existing orders must be requested in writing. Additional charges may apply depending on the nature and timing of the change.

4. Pricing, Deposits, and Payment Terms

  • All prices are quoted in British Pounds Sterling (GBP) and are exclusive of VAT unless explicitly stated.
  • A deposit may be requested to secure materials and scheduling. The remaining balance will be due upon the successful completion of the installation or delivery of services.
  • Specific payment terms, including due dates and payment methods, will be clearly outlined on the invoice.
  • Late payments may incur interest charges as stipulated under the Late Payment of Commercial Debts (Interest) Act 1998 and could result in a pause in service or further legal action.

5. Delivery, Installation and Site Responsibilities

  • Estimated dates for delivery and installation are provided in good faith but may be subject to change due to material availability, site conditions, or external factors.
  • Clients are responsible for ensuring the site is adequately prepared for the work to commence. This includes but is not limited to site access, clearance, and the provision of electrical or water connections where necessary.
  • If the site is deemed unready, additional labour, storage, or re-scheduling charges may apply.

6. Warranties and Limitations of Liability

  • All equipment supplied and installed by ColdroomsDirect carries a warranty as provided by the respective manufacturers. Specific warranty durations and conditions will be shared at the time of sale.
  • The warranty excludes any damage resulting from negligence, improper use, non-compliance with maintenance schedules, or unauthorised alterations.
  • ColdroomsDirect is not liable for any loss of earnings, spoilage of stock, or other consequential damages resulting from the failure of cold room systems.
  • Our maximum liability under any circumstances will be capped at the total amount paid by the client for the specific service or product that gave rise to the issue.

7. Maintenance Agreements and Emergency Repairs

  • Clients are encouraged to opt for periodic maintenance contracts to maximise the efficiency and longevity of their cold room systems.
  • Emergency repairs are available upon request. Service response times may vary depending on geographic location, availability of engineers, and time of the callout.
  • Clients must report faults promptly. Delayed reporting may result in escalation of issues and voiding of warranty.

8. Cancellations, Returns and Refunds

  • Orders for bespoke, made-to-order, or custom-fabricated items cannot be cancelled once production has begun.
  • Standard items may be returned within fourteen (14) days of receipt, provided they are unused, in resalable condition, and in their original packaging. A restocking fee may apply.
  • Refunds will only be issued once items have been returned and inspected. Return shipping is the client’s responsibility unless the product was delivered damaged or faulty.

9. Ownership and Intellectual Property Rights

  • All technical drawings, product designs, and written documentation provided by ColdroomsDirect remain the exclusive intellectual property of the Company.
  • Clients may not duplicate, disclose, publish, or transmit any proprietary materials to third parties without prior written authorisation.

10. Confidentiality Obligations

  • Both ColdroomsDirect and the client agree to maintain strict confidentiality of sensitive or proprietary information exchanged during the course of the business relationship.
  • This obligation survives the completion, termination, or expiration of the contractual engagement.

11. Force Majeure Events

ColdroomsDirect shall not be held liable or in breach of contract for any delays or failures resulting from causes beyond our control. Such causes include but are not limited to, acts of God, fire, floods, pandemics, acts of terrorism, civil unrest, equipment or materials shortages, or supplier failures.

12. Legal Jurisdiction and Governing Law

These Terms and all associated contracts and disputes shall be governed by and construed in accordance with the laws of England and Wales. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Severability and Entire Agreement

If any provision in these Terms is found to be unenforceable or invalid, it shall not affect the enforceability of the remaining provisions. These Terms constitute the entire agreement between the parties unless otherwise stated in writing and signed by both parties.
